Terms of Service

1. Parties and Agreement

These Terms of Service ("Agreement") govern the relationship between Meridian Growth AI Automation LLC ("Meridian Growth," "we," "us," or "our"), a Florida limited liability company based in Miami Beach, Florida, and the business entity or individual ("Client," "you," or "your") who engages Meridian Growth for services. By signing a service agreement, submitting a qualification form, or otherwise engaging our services, you agree to these terms.

2. Services

Meridian Growth provides done-for-you revenue recovery services for appointment-based businesses, including but not limited to: missed call text-back automation, dormant client reactivation, Google review generation, and monthly performance reporting ("Services"). The specific services included in your engagement are defined in your signed service agreement or order form.

All Services are delivered using GoHighLevel as our underlying platform. We retain sole discretion over the tools, methods, and configurations used to deliver Services, provided they comply with applicable law and the terms of your agreement.

3. Fees and Payment

Service fees are set forth in your signed service agreement and billed on a monthly basis. Payment is processed automatically via Stripe on the billing date specified in your agreement. By engaging our services, you authorize Meridian Growth to charge the payment method on file for all recurring fees.

  • Invoices are considered accepted if not disputed within 5 business days of issuance.
  • Late payments may result in suspension of services after 7 days.
  • Reinstatement of suspended services may require payment of outstanding balances.
  • Fees are exclusive of applicable taxes, which are your responsibility.

4. Term and Cancellation

Services are provided on a month-to-month basis unless a longer term is specified in your agreement. Either party may cancel with 30 days written notice sent to [email protected]. Cancellation takes effect at the end of the billing period following the 30-day notice period. No partial refunds are issued for the final billing period.

Meridian Growth reserves the right to terminate services immediately, without refund, if the Client violates these terms, engages in unlawful conduct, or uses our services in a manner that creates legal, regulatory, or reputational risk for Meridian Growth.

5. Client Responsibilities

To receive Services, the Client agrees to:

  • Complete the Meridian Growth onboarding form accurately and in a timely manner.
  • Set up call forwarding from your business phone number to the Meridian Growth system number as directed during onboarding.
  • Provide a compliant contact list that reflects an existing business relationship with each contact, as required under applicable law including the TCPA.
  • Ensure that your use of our services complies with all applicable laws, including but not limited to the TCPA, CAN-SPAM Act, and applicable state consumer protection statutes.
  • Not submit contact lists that include individuals who have previously opted out, expressed a desire not to be contacted, or with whom no business relationship exists.
  • Promptly notify Meridian Growth of any compliance concerns, complaints, or opt-out requests received outside our system.

6. Compliance and Prohibited Uses

Meridian Growth operates in compliance with TCPA regulations and carrier A2P 10DLC requirements. You may not use our services to:

  • Send unsolicited messages to individuals who have not consented or with whom no business relationship exists
  • Engage in deceptive, misleading, or fraudulent communications
  • Solicit or promote illegal products or services
  • Harass, threaten, or abuse any individual
  • Circumvent carrier filtering or spam detection systems

Violations of this section may result in immediate termination of services and may expose the Client to liability under applicable law. The Client agrees to indemnify and hold Meridian Growth harmless from any claims, fines, or damages arising from the Client's misuse of our services.

7. Intellectual Property

All workflows, automation configurations, templates, copy frameworks, and systems built by Meridian Growth remain the intellectual property of Meridian Growth AI Automation LLC. Clients receive a limited, non-transferable license to use these systems during the term of their active service agreement. Upon cancellation, the license terminates and client sub-accounts may be archived or deactivated.

8. Results and Disclaimers

Meridian Growth provides revenue recovery services based on industry-tested systems. We do not guarantee specific results. Revenue lift estimates shared in our materials reflect industry benchmarks and illustrative projections, not guaranteed outcomes. Actual results will vary based on factors including your business volume, service quality, market conditions, and client list quality.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Meridian Growth's total liability to you for any claim arising out of or related to these terms or our services shall not exceed the total fees paid by you to Meridian Growth in the three months preceding the claim. In no event shall Meridian Growth be liable for indirect, incidental, consequential, or punitive damages, including lost profits, even if advised of the possibility of such damages.

10. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising under this Agreement shall be resolved by binding arbitration in Miami-Dade County, Florida, under the rules of the American Arbitration Association. Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.

11. Modifications

We reserve the right to update these Terms at any time. Material changes will be communicated via email to the address on file at least 14 days before taking effect. Continued use of our services following notice of changes constitutes acceptance of the updated terms.
